Professional terms and conditions for AzziTech Software Solutions services

1. Scope of Application

These Terms of Service ("Terms") apply to all services provided by AzziTech Software Solutions, including software development, automation solutions, IT security services, hosting, and related professional services ("Services"). By accessing or using our Services, you agree to be legally bound by these Terms.

4. User Accounts and Responsibilities

Users are responsible for maintaining the confidentiality of their account credentials and for all activities carried out under their accounts. Unauthorized use must be reported immediately. AzziTech Software Solutions is not liable for loss or damage arising from misuse or unauthorized access.

Payment & Billing Terms

All fees are payable in advance and are non-refundable except as expressly stated in these Terms. Late payments may result in service suspension or termination.

  • Project-based work requires 50% deposit before commencement
  • Subscription services are billed monthly in advance
  • Late fees apply at 1.5% per month on overdue amounts
  • All prices exclude applicable taxes

6. Limitation of Liability

To the extent permitted by applicable law, AzziTech Software Solutions shall not be liable for indirect, incidental, or consequential damages resulting from your use of the Services.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany. Disputes shall be resolved in the courts of Germany unless alternative arrangements are legally agreed upon.

Intellectual Property

AzziTech Software Solutions retains all intellectual property rights in our services, software, methodologies, and proprietary processes. Client-specific deliverables are licensed for use as agreed.

  • Custom software and solutions developed remain AzziTech property unless explicitly transferred
  • Clients receive usage licenses for delivered software and systems
  • Source code remains confidential unless open-source licensing is agreed
  • Client data and content remain their property
  • Third-party components maintain their original licenses

Confidentiality & Data Protection

Both parties agree to maintain confidentiality of proprietary information, client data, and business secrets disclosed during the course of our professional relationship.

  • Confidential information includes technical specifications, business plans, and client data
  • Obligations survive termination of our agreement
  • Information may only be disclosed to authorized personnel on a need-to-know basis
  • GDPR compliance maintained for all data processing activities
  • Breach of confidentiality may result in immediate termination and legal action

Service Level Agreements

AzziTech Software Solutions commits to professional service standards and uptime guarantees for hosted services and ongoing support.

  • 99.5% uptime guarantee for hosted services (paid plans)
  • 24-48 hour response time for support requests during business hours
  • Regular security updates and maintenance windows
  • Service credits provided for uptime below guaranteed levels
  • Emergency support available for critical system issues

5. Termination and Suspension

AzziTech may suspend or terminate services for breach of contract, non-payment, or illegal activities. Clients may terminate subscriptions with appropriate notice.

  • Immediate suspension for contract breach or illegal activities
  • 30-day notice required for subscription termination by either party
  • Outstanding payments remain due upon termination
  • Data export available within 30 days of termination
  • Confidentiality obligations survive termination

German Consumer Protection Rights

Under German law (BGB § 312g), consumers have a 14-day right of withdrawal for digital services. Business clients are subject to standard commercial termination terms.

  • 14-day withdrawal period for consumer digital service contracts
  • Withdrawal right expires upon commencement of service delivery
  • Pro-rated refunds for partial service usage during withdrawal period
  • Sample withdrawal form available upon request
  • Business clients: Standard 30-day termination notice applies
