SaaS terms for OpenGrowBox subscriptions, account balance, and digital services

1. Scope of Application

These Terms of Service ("Terms") govern your use of the OpenGrowBox web application, connected APIs, SaaS features, subscriptions, account balance, plan changes, renewals, and related digital services provided by AzziTech Software Solutions ("Services"). By registering, purchasing, or using the Services, you agree to be bound by these Terms.

Grow System Liability Disclaimer

IMPORTANT: Use at your own risk

OpenGrowBox serves as a support system for cultivation. AzziTech assumes no liability for:

  • Plant losses or crop failures of any kind
  • Damages from system failures, outages, or malfunctions
  • Misconfigurations or incorrect settings by the user
  • Damages to hardware, devices, or facilities
  • Losses due to moisture, heat, or other environmental factors
  • Any unlawful use of the Services is strictly prohibited. The user is solely responsible for ensuring that use, cultivation, and operation comply with all applicable laws and regulatory requirements.

Use of the system is expressly at your own risk. The user is solely responsible for correct configuration, monitoring, and maintenance of their grow system.

4. User Accounts and Responsibilities

You must keep account credentials, 2FA codes, API access data, and other authentication factors confidential. You are responsible for activities performed through your account unless caused by a security incident attributable to us. Suspected unauthorized use, compromise, or security incidents must be reported immediately.

5a. Account and Usage Sharing

The shared use of a user account by multiple persons or the transfer of access credentials to third parties is prohibited. Each user account is intended for only a single person or operation. Transferring access data, configurations, or usage rights to other users constitutes a breach of these Terms.

Detection of Violations

  • Use of the same IP address by multiple user accounts within short time periods
  • Use of the same room ID or configuration files by different user accounts

Consequences for Violations

  • First violation: Notification by email without immediate consequences
  • Second violation: Final warning with announcement that the plan will be suspended within 7 days
  • Third violation: Immediate suspension of the paid plan, downgrade to FREE, withholding of balance (no refund)

In case of a third violation, the balance will be withheld and not refunded. An objection is possible within 14 days via email to info@azzitech.io.

Payment, Billing, and Account Balance

Fees for paid OpenGrowBox services are due in advance. Unless mandatory legal rights require otherwise, payments and already provided digital services are non-refundable. The prices displayed during checkout or in the dashboard, including applicable taxes where shown, are controlling.

  • Subscriptions renew according to the selected monthly or yearly billing interval unless effectively cancelled or changed.
  • Account balance may only be used for OpenGrowBox services, is not a bank deposit, is not payable out in cash, and is generally not refundable except where mandatory law requires otherwise.
  • Balance top-ups, balance purchases, plan changes, and automatic renewals funded from balance are recorded internally. If insufficient balance is available at the renewal due date, there is no claim to successful renewal from balance.
  • Taxes, especially VAT, may be treated differently depending on the type of service, billing country, billing address, and applicable law. The controlling amounts are those shown during checkout, on the invoice, or in the payment confirmation. If you expressly request immediate service activation or immediate credit delivery during checkout, your statutory withdrawal right may expire in accordance with the legal rules for digital services.

6. Limitation of Liability

To the extent permitted by applicable law, we are not liable for indirect damages, consequential damages, loss of profit, crop loss, production loss, data loss, device malfunction, or business interruption. Mandatory liability under applicable law, especially for intent, gross negligence, or injury to life, body, or health, remains unaffected.

7. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection law provides otherwise. To the extent legally permissible, the place of jurisdiction is our registered place of business.

Intellectual Property

We and our licensors retain all rights in the OpenGrowBox platform, APIs, user interfaces, data models, documentation, trademarks, algorithms, and all other components of the Services. You receive only the usage rights expressly granted under your booked plan.

  • The Services are provided as software-as-a-service; no transfer of source code or ownership of the platform takes place.
  • You receive a non-exclusive, revocable right to use the Services within the scope of your booked plan.
  • Reverse engineering, bypassing technical restrictions, or abusive API use is prohibited to the extent permitted by law.
  • Your own content and data remain your property; you grant us the rights necessary to perform the contract.
  • Third-party components remain subject to their original license terms.

Data Collection and Analysis

To provide, secure, and improve the Services, we process in particular the following categories of data:

Collected Data

  • Authentication, session, and IP data for security monitoring and abuse prevention
  • Usage data, billing events, and plan-related interactions within the platform
  • Device, browser, and technical diagnostic information
  • Grow, sensor, and history data for connected active systems
  • Cookies, preferences, and technically necessary tracking information

Purposes of Use

  • Contract performance, feature delivery, and account administration
  • Security, fraud prevention, rate limiting, and abuse detection
  • Error analysis, service stability, and technical optimization

Third Party Disclosure

Data is shared only to the extent necessary with processors and infrastructure partners such as Supabase (database/authentication) and Stripe (payment processing). Any such sharing is purpose-limited and protected by appropriate contractual safeguards.

Confidentiality & Data Protection

Both parties will keep confidential information, credentials, operational data, billing information, and non-public technical information confidential. This obligation continues after the contract ends to the extent permitted by law.

  • Confidential information includes credentials, security information, non-public API documentation, business metrics, and customer data.
  • Confidentiality obligations survive termination of the contract.
  • Disclosure is permitted only to authorized persons who need the information to perform the contract.
  • We implement appropriate technical and organizational measures to protect personal data.
  • Where security incidents, abuse, or policy violations occur, we may suspend access and take further protective measures.

Service Level Agreements

We strive for high availability and secure operation of the Services. Statements about uptime, support levels, or limits are binding SLA commitments only where they are expressly designated as part of the booked plan.

  • Planned maintenance windows, security updates, and technical interventions may temporarily affect availability.
  • We may apply rate limiting, abuse prevention, and infrastructure protection measures where required.
  • Certain features may be subject to plan-specific limits, feature flags, or technical restrictions.
  • There is no claim to uninterrupted availability in every situation unless expressly agreed.

5. Termination and Suspension

AzziTech may suspend or terminate services for breach of contract, non-payment, or illegal activities. Clients may terminate subscriptions with appropriate notice.

  • Immediate suspension is permitted in cases of abuse, security violations, suspected fraud, or unlawful use.
  • A downgrade to a lower plan is currently limited to one downgrade per calendar month.
  • Cancellation or downgrade does not remove payment obligations for services already due or already provided.
  • Where technically supported, data export may be made available within a reasonable period before or after contract end.
  • Confidentiality, data protection, and billing obligations continue after termination where necessary.

German Consumer Protection Rights

Consumers generally have a 14-day right of withdrawal for digital services under German law. However, if you expressly request that we begin performance before the withdrawal period expires and you acknowledge the loss of your withdrawal right, that right may expire in accordance with applicable law. We obtain this consent through separate confirmations during checkout. Statutory consumer withdrawal rules do not apply in the same way to business customers.

  • For digital services with immediate activation, the withdrawal right may expire where valid consent and acknowledgment were given.
  • Where withdrawal has been waived and the digital service has been provided immediately, there is generally no refund claim for the already provided service.
  • Account balance top-ups are intended for OpenGrowBox services and are generally not withdrawable or refundable in cash unless mandatory law requires otherwise.
  • A statutory sample withdrawal form and additional information are made available to you.
  • Plan changes, cancellations, and especially downgrades may be subject to additional technical and legal limitations, including the current one-downgrade-per-month rule. Business customers are primarily subject to the agreed SaaS contract terms.

Security Bug Bounty Program

We welcome security researchers and ethical hackers to responsibly report security vulnerabilities. Valid reports may be rewarded with free plan upgrades. For more details, visit our Security Disclosure page.

This program is governed by our terms of service. Researchers acting in good faith are protected from legal action. We reserve the right to modify or terminate this program at any time.
